License Agreement & Terms

This Agreement is between you and Circular Smart Limited, a company registered in Ireland under company number 744872, registered office 39 Castleyard, 20/21 St Patrick's Road, Dublin, Ireland ("Circular Smart", "we", "us"), for the PinLayout software ("Software"). By installing or using the Software, you agree to it. If you do not agree, do not install or use the Software.

1. Eligibility

You must be at least 16 years old (or the age of majority where you live) and able to enter a binding contract.

2. License grant

Subject to this Agreement and payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on the number of devices permitted by your plan, for your own use. A 7-day free trial may be offered; after it ends, continued use of paid features requires an active subscription or license key.

3. Restrictions

You may not: (a) copy, distribute, resell, rent, lease, or sublicense the Software; (b) reverse engineer, decompile, or disassemble it except to the extent this restriction is prohibited by law; (c) remove or alter proprietary notices; (d) circumvent the licensing or activation mechanism; or (e) use the Software unlawfully.

4. License keys and activation

The Software validates your license with our servers, stores a signed token locally, and works offline within a limited grace period. Keep your license key confidential; you are responsible for activity under it.

5. AI layout suggestions and data

The optional "Suggest with AI" feature sends limited context about your monitors and open applications to our servers, which use a third-party AI model to generate a suggested layout. It runs only when you choose it, and is not used to train AI models. See our Privacy Policy.

6. Fees, taxes & subscriptions

Pro is offered on a monthly or annual subscription that renews automatically at the then-current price until cancelled. Prices are exclusive of taxes; VAT or local sales tax is added where required. We will notify you in advance of price changes. Billing is handled by Stripe.

7. Refunds & cancellation

You may cancel any time and keep access until the end of the paid period. We offer a 7-day money-back guarantee, and EU/EEA consumers have withdrawal rights as described in our Refund & Cancellation Policy, which forms part of this Agreement.

8. Updates

The Software may download and install updates automatically or prompt you. This Agreement governs updates unless one comes with a separate agreement.

9. Acceptable use

You agree not to use the Software or our services to break the law, infringe others' rights, interfere with or overload our systems, or attempt unauthorized access. We may suspend or terminate access for serious or repeated breaches.

10. Ownership & third-party software

The Software is licensed, not sold. Circular Smart and its licensors retain all right, title, and interest, including intellectual property rights. The Software includes third-party open-source components (including Microsoft .NET, Microsoft Edge WebView2, and BouncyCastle) under their respective licenses; those licenses govern those components.

11. Export controls & sanctions

You must comply with applicable export-control and sanctions laws and may not use the Software where prohibited by them.

12. Termination

This license lasts until terminated. It ends automatically if you breach it. On termination you must stop using and uninstall the Software.

13. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. This does not exclude warranties or rights that cannot be excluded by law.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIRCULAR SMART WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, USE, OR PROFITS. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM. Nothing limits liability that cannot be limited by law (e.g. for death, personal injury, or fraud).

15. Indemnity

You agree to indemnify Circular Smart against claims arising from your unlawful use of the Software or breach of this Agreement, to the extent permitted by law.

16. Governing law & disputes

This Agreement is governed by the laws of Ireland, and the courts of Ireland have jurisdiction, except where mandatory law in your country of residence provides otherwise. EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Nothing here affects statutory consumer rights that cannot be waived.

17. General

If any provision is unenforceable, the rest remain in effect (severability). Our failure to enforce a right is not a waiver. You may not assign this Agreement without our consent; we may assign it to an affiliate or successor. Neither party is liable for delays caused by events beyond reasonable control (force majeure). This Agreement, with the Privacy, Cookie, and Refund policies, is the entire agreement between us. We may update these terms and will post the new date; continued use after changes means you accept them.
